Terms & conditions
These terms are a binding agreement between you and Private Club App (Pty) Ltd. By creating an account or using the Spytoo app or website you agree to them. If you do not agree, do not use Spytoo.

1. Who we are and definitions
Spytoo is owned and operated by Private Club App (Pty) Ltd (“Private Club App”, “we”, “us”, “our”), a private company incorporated in the Republic of South Africa. “Spytoo” or the “Service” means the Spytoo mobile applications for iOS and Android, the website at https://spytoo.com, and all related content and services. “You” means the person using the Service, and where you act for a club, the club as well.
These terms incorporate our Privacy policy and Backing terms. If there is a conflict, the Backing terms govern payments and these terms govern everything else.
2. What Spytoo is (and is not)
Spytoo is a technology platform for grassroots football in South Africa. It lets fans follow clubs and matches, lets players and coaches present a profile, lets clubs manage their squads, team sheets, results and recruiting, and lets supporters back players for their real-world football costs.
Spytoo is not a league, federation, association, agent, club, employer or organiser of any match, trial or event. We do not organise, officiate, sanction, insure or supervise any football activity. We do not vet, endorse or guarantee any club, player, coach or user. Any relationship between a club and a player, coach or supporter is between those parties only, and Private Club App is not a party to it.
3. Eligibility and accounts
- You must be at least 13 years old to create an account. Player and coach profiles require a date of birth, and the app will not create a profile for anyone younger.
- If you are under 18, a parent or guardian must consent to your use of Spytoo and is responsible for your account and for any player or coach profile created for you.
- You must be at least 18 years old to back a player. Before any payment you confirm in the app that you are an adult; backings made in breach of this may be reversed.
- You must give accurate information and keep it up to date. You may hold only one personal account.
- You are responsible for keeping your password confidential and for everything done through your account, whether or not you authorised it. Tell us immediately at support@spytoo.com if you suspect unauthorised use.
- Every account starts as a fan account. You may upgrade your own account to a player or coach profile. Club accounts are created by us and claimed with a code we issue to the club's representative. By claiming a club you warrant that you are authorised to act for that club and to bind it to these terms.
- You may delete your account at any time from Account Settings or as described on the account deletion page.
4. Licence to use Spytoo
We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the app on devices you own or control, and to use the website, for personal, non-commercial purposes in accordance with these terms and the rules of the app store you obtained it from. We may withdraw this licence at any time.
5. Your content
You keep ownership of the content you add to Spytoo (photos, bios, club stories, crests, sponsor logos, results, team sheets and so on) (“Your Content”). You grant Private Club App a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt (for example resize or crop), display and distribute Your Content in connection with operating, promoting and improving the Service, for as long as it remains on Spytoo and for a reasonable period afterwards in backups and caches.
You warrant that:
- you own Your Content or have every right and consent needed to post it, including the consent of any person who appears in a photograph;
- Your Content is accurate and does not infringe any copyright, trade mark, privacy, personality or other right of any person;
- clubs upload only crests, kits, logos and artwork that they own or are licensed to use. We do not supply competition, sponsor or third-party artwork and we will remove artwork whose owner has not authorised its use.
We do not pre-screen content and are not responsible for it. We may remove or refuse any content at our sole discretion, with or without notice.
6. Acceptable use
You agree not to:
- impersonate any person, club or organisation, or claim a club you do not represent;
- post content that is unlawful, defamatory, abusive, threatening, discriminatory, hateful, sexual, violent or harassing, or that concerns a child in an inappropriate way;
- record false results, false team sheets, fake statistics or fabricated players;
- manipulate Player of the Match voting, fan ratings or any ranking through multiple accounts, automation or collusion;
- use contact details or personal information obtained through the app for any purpose other than genuine football recruiting, or contact a minor without going through their guardian;
- use Spytoo to solicit, offer or arrange payments outside the app that are designed to avoid the Backing terms or our service fee;
- scrape, crawl, copy, data-mine or bulk-download any part of the Service, or reverse engineer, decompile or tamper with the app or its security;
- upload malware, probe our systems, or interfere with the Service or other users' use of it;
- use the Service for any commercial purpose we have not agreed to in writing, including advertising, betting, or reselling data.
7. Moderation, suspension and termination
Users can report content and block other users in the app. We may investigate any suspected breach and, at our sole discretion and without liability to you, warn you, remove content, restrict features, suspend or permanently terminate your account, remove a club or its data, withhold or reverse a backing, and disclose information to law enforcement or to a person harmed by your conduct where the law permits. We are not obliged to give reasons, but we will usually tell you what happened.
You may stop using Spytoo at any time. Clauses that by their nature should survive (including 5, 9, 10, 11, 12, 13 and 16) survive termination.
8. Clubs, results, rankings and trials
- Fixtures are scheduled by us on the basis of information provided by leagues and clubs. Participating clubs submit team sheets and claim results. Matching claims are confirmed automatically; conflicting claims are held as disputed and excluded from standings until we record an official result. Our decision on a disputed result within the app is final for the purposes of the app only and has no effect on any official competition.
- Standings, statistics, ratings, Player of the Match awards, spotlight and rising-talent selections and any other ranking shown in the app are derived from user-entered data and our own editorial judgement. They are provided for interest only, are not official records, may contain errors, and create no right, expectation or entitlement of any kind.
- Club administrators are responsible for the accuracy of their club's data, for having authority to act for the club, for how the club uses any personal information it obtains through the app, and for how it uses backing it receives.
- Trial events are organised and run by clubs, not by us. Registering in the app reserves a place subject to the club's capacity. The club decides who attends, what happens at the trial and whether any offer follows. You attend any trial, training or match entirely at your own risk. We are not responsible for the conduct of any club or person at a trial, for injury, loss or damage suffered there, or for a trial being cancelled, moved or run differently from how it was advertised.
9. Backing a player
Backing is a payment to a player's club for that player's real-world football costs. Only users aged 18 or over may back a player. It is not a purchase of in-app content, is not a contribution to us, and never unlocks any feature, badge, ranking, vote weight or other in-app value. We provide the payment facility only; the club is responsible for applying the money as described in the Backing terms, which form part of these terms.
10. Intellectual property
The Spytoo name, logo, app and website design, software, databases, compilations and all content we create are owned by Private Club App and its licensors and are protected by South African and international law. Except for the licence in clause 4, no rights are granted to you. You may not copy, modify, distribute, sell or lease any part of the Service, or use our name or branding, without our prior written permission. Club, competition and player names appear as factual information and remain the property of their respective owners.
If you believe content on Spytoo infringes your rights, email support@spytoo.com with the content, your rights and your contact details and we will respond promptly.
11. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory, including any warranty of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement or uninterrupted or error-free operation. We do not warrant that any information in the Service (including profiles, statistics, results, contact details and club information) is accurate, that any club, player or coach is who they say they are, or that any recruiting, trial or backing will produce any outcome.
12. Limitation of liability
To the fullest extent permitted by law, Private Club App, its directors, employees, agents and suppliers will not be liable to you or anyone else for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profit, revenue, opportunity, data, goodwill or reputation, arising out of or in connection with the Service, these terms, or the conduct of any club, player, coach, user or third party, however caused and even if we were advised of the possibility.
Without limiting the above, we are not liable for: (a) any injury, loss or damage suffered at a trial, training session, match or other football activity; (b) the acts or omissions of any club, including how it applies backing or uses contact details; (c) content posted by users; (d) unauthorised access to your account caused by your failure to keep your credentials secure; (e) the acts or omissions of our payment processor, hosting provider or app stores; or (f) any interruption, loss of data or failure of the Service.
Where liability cannot be excluded, our total aggregate liability to you for all claims arising in any 12-month period is limited to the greater of (i) the service fees you paid to us in that period and (ii) R500.
Nothing in these terms excludes or limits liability for death or personal injury caused by our gross negligence, for fraud, or for any liability that cannot be excluded under the Consumer Protection Act, 2008 or other applicable law. Where the Consumer Protection Act applies to you, these terms are to be read subject to your rights under it.
13. Indemnity
You agree to indemnify, defend and hold harmless Private Club App, its directors, employees, agents and suppliers from and against any claim, demand, loss, damage, liability, cost or expense (including reasonable legal fees on an attorney-and-client scale) arising out of or connected with: (a) Your Content; (b) your breach of these terms or of any law; (c) your infringement of any third party's rights, including the rights of a person appearing in a photograph you post; (d) if you act for a club, the club's conduct, its use of personal information and its use of any backing received; and (e) any dispute between you and another user, club, player or coach.
14. Third-party services
The Service relies on third parties, including Supabase for hosting, Paystack for payments, and Apple and Google for distribution. Their terms apply to your use of their services. We are not responsible for their availability, acts or omissions. Links to club websites, social profiles, highlight videos and other third-party sites are provided for convenience only; we do not control or endorse them.
15. Availability and changes
We may change, suspend or withdraw any part of the Service, add or remove features, change the divisions, competitions or clubs shown, and impose limits, at any time and without liability. We may update these terms; when we make material changes we will notify you in the app or by email, and continuing to use Spytoo after that means you accept the updated terms. If you do not accept them, stop using Spytoo and delete your account.
16. Governing law and disputes
These terms are governed by the laws of the Republic of South Africa. Before starting any legal proceedings you agree to contact us at support@spytoo.com and give us 30 days to resolve the matter with you in good faith. Subject to your rights under the Consumer Protection Act, you consent to the jurisdiction of the High Court of South Africa, Gauteng Division, or a Magistrate's Court with jurisdiction, for any dispute that cannot be resolved informally.
17. General
- Entire agreement. These terms, the Privacy policy and the Backing terms are the whole agreement between you and us about the Service and replace any earlier agreement.
- Severability. If any clause is found to be unenforceable, it will be severed or limited to the minimum extent necessary and the rest of the terms remain in force.
- No waiver. Our failure to enforce any right is not a waiver of that right.
- Assignment. You may not transfer your rights under these terms. We may assign them to a successor or affiliate.
- Force majeure. We are not liable for any failure caused by events beyond our reasonable control, including power or network outages, provider failures, strikes, pandemics or government action.
- No relationship. Nothing in these terms creates a partnership, agency, employment or joint venture between you and us, or between us and any club.
- Notices. We may notify you in the app or at the email address on your account. Notices to us go to support@spytoo.com.
- Electronic communications. You agree that these terms and any notices may be given electronically, and that they satisfy any legal requirement for writing.
